Mathias advises Danish and international companies on acquisitions and disposals, with a particular focus on private equity investments. He acts for both buyers and sellers and has experience across the full transaction cycle, from structuring, due diligence and negotiation through to closing and post-closing integration.
He also advises on general corporate and commercial law, including governance, establishment and restructuring matters.

Transaction highlights
- Assisted the international investment and asset management firm IDG Capital in connection with the acquisition of the gourmet liquorice producer Lakrids by Bülow. Selected members of the management team are reinvesting in the company. With strong new international ownership through IDG Capital, Lakrids by Bülow aims to accelerate its ongoing international growth across Europe, Asia and the US. Completion of the transaction is expected to take place in Q4 2025, subject to customary regulatory approvals.
- Advised TMC Nordic in the sale of a 65% majority stake to the German Nobilis Group, which is owned by the Gebr. Heinemann group. The transaction was subject to approval by a range of European competition authorities and completed in Q1 2025.
- Advised the global private equity fund Bridgepoint on the acquisition of the Danish defence company MyDefence. The management of MyDefence has reinvested in the company. Bridgepoint is part of Bridgepoint Group plc., which is one of the world’s leading quoted private asset growth investors with more than EUR 41bn under management.
- Provided advice to Basalt Infrastructure Partners on the acquisition of Reconor Group from Agilitas Private Equity LLP. Basalt is an international private equity fund with a transatlantic focus on investments in medium-sized infrastructure businesses within transport, power and utilities. This is Basalt’s first transaction in Denmark. The transaction is subject to the approval by the Danish competition authorities.
- Assisted REMA 1000 in connection with the acquisition of the majority of ALDI’s Danish activities. The transaction was extremely complex and conditional on approval from the Danish competition authorities.
- Advised the European consultancy and software company NTI Group in connection with the acquisition by Axcel. The transaction e.g. required the acquisition of shares from more than 50 minority shareholders in seven countries and reinvestments from the company’s majority shareholder and all minority shareholders. The transaction was subject to the usual public authority approvals.
